Registro de Empresas de la Frontera y el RESICO
En el presente se abordará la temática de las Empresas de la Frontera o de la Región y su relación con el nuevo esquema fiscal de Régimen Simplificado de Confianza incorporado en la Ley del Impuesto Sobre la Renta.
I. Régimen Simplificado de Confianza
En la Reforma Fiscal publicada en el DOF el 12 de noviembre de 2021 para entrar en vigor el 1 de enero de 2022, fue modificada la Ley del Impuesto Sobre la Renta para incorporar en el Título IV, Capítulo II, la Sección IV denominada “Régimen Simplificado de Confianza”, que comprende los artículos 113-E al 113-J, y en el Título VII con un Capítulo XII denominado “Régimen Simplificado de Confianza de personas morales”, que comprende los artículos 206 al 215.
De acuerdo con información proporcionada en el portal del SAT, se describen los aspectos siguientes:
A. Personas físicas:
El Régimen Simplificado de Confianza es una simplificación administrativa para que el pago del impuesto sobre la renta (ISR) se realice de forma sencilla, rápida y eficaz. El objetivo de este nuevo esquema es la reducción de las tasas de este impuesto para que las personas que tengan menores ingresos paguen menos. Esta propuesta del Servicio de Administración Tributaria (SAT) se basa en las mejores prácticas internacionales.
La propuesta está orientada a contribuyentes personas físicas que perciben ingresos anuales menores a 3.5 millones de pesos facturados conforme a su actividad económica, pertenecientes a alguno de los cuatro regímenes fiscales que conforman el Régimen Simplificado de Confianza: 1. Actividades empresariales y profesionales, 2. Régimen de Incorporación Fiscal, 3. Uso o goce de bienes inmuebles (arrendamiento) y Actividades Agrícolas, Ganaderas, Pesqueras o Silvícolas.
B. Personas morales:
En el Régimen Simplificado de Confianza se pueden adherir las personas morales con ingresos menores a 35 millones de pesos cuyos socios sean personas físicas.
El SAT tiene un padrón registrado de 2.1 millones de micro y pequeños negocios cuyos ingresos brutos al año no exceden de 35 millones de pesos, lo que representa 96 por ciento del total de personas morales que serán beneficiadas al incorporarse a este nuevo régimen.
II. Decretos de la Frontera y Zona Libre
El “Decreto por el que se establece el impuesto general de importación para la región fronteriza y la franja fronteriza norte”, ha tenido diversas modificaciones desde su publicación inicial, sin embargo, la versión publicada el 24 de diciembre de 2008 para iniciar el día 1 de enero de 2009, ha tenido diversas prorrogas en cuanto a su vigencia, y la última indica que fenecerá el 30 de septiembre de 2024.
Asimismo, el Poder Ejecutivo creó la Zona Libre de Chetumal el 31 de diciembre de 2020 mediante el “Decreto de la zona libre de Chetumal” para entrar en vigor el 1 de enero de 2021 y concluir su vigencia el 31 de diciembre de 2024.
Haciendo un comparativo general se identifican algunas similitudes y diferencias de las cuales sobresalen las siguientes:

III. Improcedencia de la Autorización
Los interesados en obtener las autorizaciones de los registros de empresas de la frontera o de la región por parte de la Secretaría de Economía deben cumplir con todos los requisitos y condiciones que establecen los Decretos y las disposiciones generales relacionadas.
No obstante, existen ciertas restricciones para que las empresas del giro comercial o de servicios puedan acceder a los beneficios que ofrece el registro cuando tributen bajo los regímenes fiscales que se indican:

En este sentido, ambos instrumentos normativos y sus disposiciones generales establecen limitaciones, los cuales se desglosan a continuación:
1. No se otorgará el Registro como Empresa de la Frontera cuando:
- Personas morales, coordinadas. (Título II, Capítulo VII LISR).
- Personas morales, del régimen de actividades agrícolas, ganaderas, silvícolas y pesqueras (Título II, Capítulo VIII LISR).
- Personas físicas, Régimen de incorporación fiscal (Título IV, Capítulo II, Sección II LISR).
2. No se otorgará el Registro como Empresa de la Región cuando:
- Personas morales, régimen opcional para grupos de sociedades. (Título II, Capítulo VI LISR)
- Personas morales, de los coordinados. (Título II, Capítulo VII LISR).
- Personas morales, régimen de actividades agrícolas, ganaderas, silvícolas y pesqueras. (Título II, Capítulo VIII LISR).
- Personas físicas, régimen de incorporación fiscal. (Título IV, Capítulo II, Sección II LISR)
- Residentes en el extranjero con ingresos provenientes de fuente de riqueza ubicada en territorio nacional (Título V LISR).
- Fideicomisos dedicados a la adquisición o construcción de inmuebles. (Título VII, Capítulo III LISR).
- Estímulos fiscales a la producción y distribución cinematográfica y teatral nacional. (Título VII, Capítulo IV LISR).
- Contribuyentes dedicados a la construcción y enajenación de desarrollos inmobiliarios. (Título VII, Capítulo V LISR).
- Promoción de la inversión en capital de riesgo en el país. (Título VII, Capítulo VI LISR)
- Sociedades cooperativas de producción. (Título VII, Capítulo VII LISR).
- Estímulo fiscal a la investigación y desarrollo de tecnología. (Título VII, Capítulo IX LISR)
- Estímulo fiscal al deporte de alto rendimiento. (Título VII, Capítulo X LISR).
- Las empresas que lleven a cabo operaciones de maquila. (181, 182, 183 y 183Bis LISR).
- Las operaciones que en términos de la legislación aduanera se efectúen por o a través de empresas de mensajería y paquetería.
De lo anterior se advierte, que hasta el momento la normatividad de comercio exterior no establece restricciones para que las empresas de la frontera o de la región que se encuentren bajo el Régimen de Simplificado de Confianza soliciten o mantenga las facilidades y beneficios del Registro de Empresa de la Frontera o de la Región que autoriza la Secretaría de Economía, aunque algunas actividades es factible relacionarlas con los regímenes fiscales que se encuentran restringidos, por ejemplo, el Régimen de Incorporación Fiscal. Por tal motivo, es necesario estar atento a los futuros cambios de estos esquemas preferenciales por parte de la Secretaría de Economía.

This document will address the topic of Border or Regional Companies and their relationship with the new tax scheme of the Simplified Trust Regime incorporated in the Income Tax Law.
I. Simplified Trust Regime
In the Tax Reform published in the Official Gazette of the Federation on November 12, 2021 to become effective on January 1, 2022, the Income Tax Law was amended to incorporate in Title IV, Chapter II, the Section IV called “Simplified Trust Regime”, comprising Articles 113-E to 113-J, and in Title VII with a Chapter XII called “Simplified Trust Regime for legal entities”, comprising Articles 206 to 215.
According to the information provided in the SAT (Tax Administration Service) website, the following aspects are described:[1]
A. Natural persons:
The Simplified Trust Regime is an administrative simplification for the payment of income tax (ISR) to be done in a simple, fast and efficient way. The objective of this new scheme is to reduce the rates of this tax so that people with lower incomes pay less. This proposal of the Tax Administration Service (SAT) is based on international best practices.
The proposal is aimed at individual taxpayers who receive annual income of less than 3.5 million pesos invoiced in accordance with their economic activity, belonging to one of the four tax regimes that make up the Simplified Trust Regime: 1. Business and professional activities, 2. Tax Incorporation Regime, 3. Use or enjoyment of real estate (renting) and Agricultural, Livestock, Fishing or Forestry Activities.
B. Legal entities:
The Simplified Trust Regime is open to companies with revenues of less than 35 million pesos whose partners are individuals or natural persons.
The SAT has a registered list of 2.1 million micro and small businesses whose gross annual income does not exceed 35 million pesos, which represents 96 percent of the total number of legal entities that will benefit from joining this new regime.
II. Border and Free Zone Decrees
The “Decree establishing the general import tax for the border region and the northern border strip”, has been modified several times since its initial publication; however, the version published on December 24, 2008 to become effective on January 1, 2009, has been extended several times regarding its validity, and the last extension indicates that it will expire on September 30, 2024.[2]
Additionally, the Executive Authority created the Chetumal Free Zone on December 31, 2020 by means of the “Chetumal Free Zone Decree” to enter into force on January 1, 2021 and to expire on December 31, 2024.
A general comparison reveals some similarities and differences, the most important ones are the following:

III. Inadmissibility of the Authorization
Those interested in obtaining authorizations for the registration of border or regional companies by the Ministry of Economy must comply with all the requirements and conditions established in the Decrees and related general provisions.
However, there are certain restrictions for commercial or service companies to access the benefits offered by the registry when they are taxed under the following tax regimes:

In this regard, both regulatory instruments and their general provisions establish limitations, which are detailed as follows:
1. Registration as a Border Enterprise will not be granted for the following entities:[5]
- Legal entities, coordinated. (Title II, Chapter VII Income Tax Law).
- Legal entities under the regime for agricultural, livestock, forestry and fishing activities (Title II, Chapter VIII of the Income Tax Law).
- Individuals, Tax incorporation regime (Title IV, Chapter II, Section II of the Income Tax Law).[6]
2. Registration as an Enterprise of the Region will not be granted for the following entities:[7]
- Legal entities, optional regime for groups of companies. (Title II, Chapter VI of the Income Tax Law).
- Legal entities of the coordinated ones. (Title II, Chapter VII of the Income Tax Law).
- Legal entities, agricultural, livestock, forestry and fishing activities regime. (Title II, Chapter VIII of the Income Tax Law).
- Individuals, tax incorporation regime. (Title IV, Chapter II, Section II of the Income Tax Law).
- Residents abroad with income from a source of wealth located in Mexican territory (Title V of the Income Tax Law).
- Trusts dedicated to the acquisition or construction of real estate. (Title VII, Chapter III of the Income Tax Law).
- Tax incentives for domestic film and theater production and distribution. (Title VII, Chapter IV of the Income Tax Law).
- Taxpayers engaged in the construction and sale of real estate developments. (Title VII, Chapter V of the Income Tax Law).
- Promotion of venture capital investment in the country. (Title VII, Chapter VI of the Income Tax Law).
- Production cooperative companies. (Title VII, Chapter VII of the Income Tax Law).
- Tax incentive for research and development of technology. (Title VII, Chapter IX of the Income Tax Law).
- Tax incentive for high performance sports. (Title VII, Chapter X of the Income Tax Law).
- Companies that carry out textile factory operations. (181, 182, 183 and 183Bis of the Income Tax Law).
- Operations that in terms of customs legislation are carried out by or through courier and parcel companies.
Therefore, it can be seen that up to now the foreign trade regulations do not establish restrictions for border or regional companies that are under the Simplified Trust Regime to request or maintain the facilities and benefits of the Border or Regional Company Registry authorized by the Ministry of Economy, although some activities can be related to the tax regimes that are restricted, for example, the Tax Incorporation Regime. For this reason, it is necessary to be alert to future changes in these preferential schemes by the Ministry of Economy.
