Condiciones que debe explicar la autoridad para solicitar el Acta Constitutiva de un contribuyente
En sesión del pasado 23 de diciembre de 2021, resuelta por unanimidad de votos, publicada en el Semanario Judicial de la Federación, Undécima Época, 28 de enero de 2022, Tesis VII.2º. A.4 A (11ª), con número de registro 2024118, cuyo rubro señala: “REVISIÓN DE ESCRITORIO O GABINETE. PARA CUMPLIR CON EL PRINCIPIO DE SEGURIDAD JURÍDICA, LA ORDEN RESPECTIVA DEBE FUNDAR Y MOTIVAR LA NECESIDAD, IDONEIDAD Y PROPORCIONALIDAD DEL REQUERIMIENTO DE LA ESCRITURA CONSTITUTIVA DE LA PERSONA MORAL CONTRIBUYENTE Y SUS RESPECTIVAS ACTAS DE ASAMBLEA DE ACCIONISTAS”.
En dicha tesis se analizó que un juicio de amparo indirecto promovido en contra de la orden de revisión de escritorio o gabinete donde se requirió la exhibición de la escritura constitutiva y las actas de asamblea de accionistas ordinarias y/o extraordinarias protocolizadas, el Juez concedió la protección constitucional al considerar que se emitió la orden sin justificación de las razones inmediatas o especiales de la documentación por tener relación directa con obligaciones fiscales, dado que se generaron el un periodo distinto al de la orden, consecuentemente la autoridad responsable interpuso recurso de revisión.
El Tribunal Colegiado de Circuito determinó que cuando una autoridad fiscal emite una orden de revisión de escritorio o gabinete en la cual formule requerimiento de documentación con fundamento en las facultades de comprobación previstas en los artículos 42, fracción II y 48 del Código Fiscal de la Federación, a fin de dar cumplimiento al principio de seguridad jurídica, fundando y motivando la necesidad, la idoneidad y la proporcionalidad de la actuación.
Apuntó que para garantizar la seguridad jurídica fundamentada en el artículo 16 de la Constitución, y limitar el ejercicio abusivo de las facultades de toda autoridad, incluyendo las exactoras.
Dicho principio tiene como finalidad:
- La prohibición de excesos,
- Así como una mínima intervención en los derechos de los individuos,
- Por lo que al establecer límites y restricciones para el acceso a la contabilidad y documentación de los particulares debe ser con una amplia precisión en cómo deben de exhibirse y ser de tal manera lo más específico posible para evitar a una mala interpretación y causar algún tipo de molestia a los contribuyentes.
Por lo mencionado anteriormente, y tomando en cuenta la fundamentación que se nos señala en la presente tesis, el Juez de Distrito tomó a su consideración hacer efectiva la protección constitucional al percatarse que la orden de revisión de escritorio o gabinete que se le requirió a la quejosa conforme a la exhibición de la escritura constitutiva y actas de asamblea de accionistas ordinarias y/o extraordinarias protocolizadas, no tenían relación directa con las obligaciones fiscales a revisar, por lo que no había una razón inmediata o especial para emitir dicha documentación, ni concordaba con el periodo en el que se estableció la orden.

In session of December 23, 2021, resolved by unanimous vote, published in the Semanario Judicial de la Federación (Federal Judicial Weekly), Eleventh Edition, January 28, 2022, Thesis VII.2º. A.4 A (11th), with registry number 2024118, whose heading states: “DESK OR CABINET REVIEW. IN ORDER TO COMPLY WITH THE PRINCIPLE OF LEGAL CERTAINTY, THE RESPECTIVE ORDER MUST JUSTIFY THE NECESSITY, SUITABILITY AND PROPORTIONALITY OF THE REQUIREMENT OF THE TAXPAYER’S ARTICLES OF INCORPORATION AND THE RESPECTIVE MINUTES OF THE SHAREHOLDERS’ MEETING”.
In this thesis it was analyzed that in an indirect writ of amparo filed against a desk or cabinet review order requiring the exhibition of the articles of incorporation and the minutes of the ordinary and/or extraordinary shareholders’ meeting, the judge granted constitutional protection by considering that the order was issued without justification of the immediate or special reasons for the documentation because it was directly related to tax obligations, given that they were generated in a period different from that of the order, consequently the responsible authority filed an appeal for review.
The Collegiate Circuit Court determined that when a tax authority issues a desk or cabinet review order in which it issues a documentation requirement based on the verification powers provided for in Articles 42, Section II and 48 of the Federal Tax Code, in order to comply with the principle of legal certainty, the need, suitability and proportionality of the action must be founded and motivated.
It was indicated that, in order to guarantee the legal certainty based on Article 16 of the Constitution, and to control the abusive exercise of the powers of any authority, including those of the executing authorities.
The purpose of this principle is:
- The prohibition of excesses,
- As well as minimal intervention in the rights of individuals,
- Therefore, when establishing limits and restrictions for access to accounting and documentation of individuals, it should be with a broad precision on how they should be exhibited and be as specific as possible to avoid misinterpretation and cause some kind of inconvenience to taxpayers.
For the aforementioned reasons, and considering the grounds indicated in this thesis, the District Judge took into consideration the fact that the constitutional protection was effective when he realized that the desk or cabinet review order that was required to the plaintiff, in accordance with the exhibition of the articles of incorporation and ordinary and/or extraordinary minutes of the shareholders’ meeting, had no direct relation with the tax obligations to be reviewed, therefore, there was no immediate or special reason to issue such documentation, nor did it correspond to the period in which the order was established.
